These Terms of Service ("Terms") govern your access to and use of the Veridera website and services provided by [Veridera LLC] ("Veridera," "we," "us"). By accessing the website or using our services, you agree to these Terms.

1. The service

Veridera provides software that helps licensed appraisers and appraisal firms organize evidence, standardize narratives, manage review workflows, and produce appraisal reports. The website provides information about Veridera and lets you request a demo or trial.

2. Professional responsibility — important

Veridera is a tool that assists appraisal professionals. It does not provide appraisals, valuation opinions, or professional advice, and it is not a substitute for the independent judgment of a licensed appraiser. The appraiser retains full authority over, and sole professional responsibility for, all data, assumptions, analyses, conclusions, and reports produced using the service, including compliance with USPAP and all applicable laws and standards.

3. Eligibility and accounts

You must be at least 18 and able to form a binding contract. If you create an account or trial, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account, and you agree to provide accurate information.

4. Acceptable use

You agree not to misuse the service, including by attempting to access it unlawfully, interfering with its operation, reverse-engineering it, or using it to violate any law or third-party right.

5. Your data and content

You retain ownership of the data and content you submit. You grant us a limited license to host and process it solely to provide and improve the service. We handle personal information in accordance with our Privacy Policy.

6. Intellectual property

The Veridera website, software, and brand are owned by Veridera and protected by intellectual-property laws. These Terms grant you no rights in our trademarks or software except the limited right to use the service as permitted.

7. Fees

Pricing for paid plans will be provided separately. Trial terms, billing, renewals, and cancellation will be described at the time you subscribe. Taxes may apply.

8. Disclaimers

THE WEBSITE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, error-free, or that any output will meet your requirements or be free of error.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIDERA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim.

10. Indemnification

You agree to indemnify and hold Veridera harmless from claims arising out of your use of the service or your violation of these Terms or applicable law.

11. Termination

We may suspend or terminate access for violation of these Terms or to protect the service. You may stop using the service at any time.

12. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. The courts located in New Jersey will have exclusive jurisdiction, unless otherwise required by applicable law.

13. Changes

We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance. We will revise the "Last updated" date above.
